We have been cheated by several people over the years and want to invest our time in what we consider a worthy endeavor. Let's stop the crooks from ripping off any other people and put them behind bars where they belong.
One of the most heinous scammers and crooks we have encountered is:

Nelson Buck -
nelsonbuck@portal.mardox.com runs a very clever scam, he makes it appear is if there are several people in his scam operation. You pay him to do Internet advertising on his fraudulent search engine and he never runs any ads.
The only use of his search engine is to harvest emails so he can SPAM you. If you can help us put him in jail where he belongs, please report him to the agencies mentioned below. He makes a lot of comments on his web site to make it appear legitimate. Do you think people like this pay any taxes?
Many people have phoned me over the last several years thanking me and telling me their horror stories about how Mardox and Nelson Buck tried or did rip them off.

Nelson Buck cheated us out of $20,000 with his evil scams.

These con men work together in a worldwide group to rip off innocent people. The criminal Nelson Buck has other domain names:

2. Another scam to watch out for.We just finalized an agreement with the "Best of the Best" connection providers in the world and mailing will commence this week. What this means to you: Your mailing will begin the 2nd day and has been placed within a group of clients who have been waiting for service for months.

We are in the final stages of a brand new and exciting program which until now the Internet has never seen at the price we will be offering. How to Value a Business - Part 2

How to value a business?

Important Notice - the business broker and seller are not on the buyer's side!

Remember, for a business broker, no deal equals no commission.

What steps can you take to avoid making possibly the biggest financial mistake of your life?
Obtain as much information as you can so that you will know what to watch out for as you negotiate to buy a business. Below are some of the key points you should know about before buying an operating business.

Remember that buying a business is fundamentally an investment, so the business is worth only as much as its ability to generate profits for you based on how much money you invested to purchase the business.

If you are going to work in the business as most people do, then the business should also pay you a good salary in addition to the profits the business may earn. Please remember your time is worth something... hopefully a lot. The best way to determine a business's value is to work backwards from the available profits that a seller can prove.

For example, let's say that a business has a total of $300,000 pre-tax profits (proven by IRS tax returns for the latest full year of operation), before allowing for an owner/manager's wage. Now this brings up many different topics to cover. For example what if the seller is not reporting all his profits to the IRS? This is illegal, however many small businesses do not report much of their income to the IRS. Certain industries are know for this. Please do your own research and ask small construction contractors if they report all their income to the IRS, including all barters. We will came back to this topic later.

Back to our example:
You plan to work full time in the business (and believe me, you probably will), and a fair wage for the work if you were to hire someone to do it is $75,000. That leaves $225,000 of available profit to work with but do not forget to deduct the income taxes that you will have to pay on this, probably about $72,000 depending on the state and city the business is in, plus other personal factors (figure at least 32%). That gets you down to about $153,000 of profits left to be able to either pay off the debt you incur to buy the business or to provide you with a reasonable return on your cash investment.

There are many ways to work with this $153,000, however most lenders of money to purchase a business, whether they are the sellers themselves or others, want to see a relatively short payoff term (4 years or less) and a fair interest rate on the money (let's say 12%). When you do the math to determine the values of $153,000 yearly payments for 4 years at 12% interest, the amount turns out to be about $240,749. This is one way to calculate the approximate total value of the business and a good starting point for negotiations. Some people use 2 times the gross sales, in this case that would be $600,000. Other people use mulitple of profits, in order to detrimine a sale price.


I have experience purchasing we sites.
For web sites 3 times the pre tax profits are numbers I have seen people use. I like to buy a web site for payback in a year or less, because of all the risks involved. So a web site that earns $1000 per month or $12,000 per year would be worth at least $36,000 right? I bought one that earned a thousand per month for $8,000. So my payback is 8 months. The web site is: http://www.emortgageloanstore.com/ .This site now earns $1800 per month. This is what I consider a very good investment and like any great investment very difficult to find. Many would say this seller sold for way too low of a price.

When I say total, I mean total. The total value and therefore the business's selling price must include all closing costs, assets, transfer and franchise fees, etc. Remember; a business is worth only as much as its ability to produce profits for you. Of course, if you change the time period for payoff of the purchase price, the interest rate, the anticipated taxes, and other factors, the price you can afford to pay for the business can go up or down.

How to Value a Business - Part 1

I want to write a series of articles about how to value a business for sale and compare different types of businesses, e.g. product based companies vs. consulting based companies, etc.

In this first article we will examine how to do a bottom analysis of a web site that earns it's revenue from different forms of advertising.

First we need to know some more information about the site as we conduct a bottoms up analysis in order to set up a fair market value. Below is a list of the information we would need to know. Let me know if any of the information requested is not relevant to your site or is unclear.

SOURCE OF TRAFFIC:
1. Number of unique visitors to the website per month, for the past 12 months

2. Name of the stats package/program used to determine the number of unique visitors (it does not matter to us which one is used, but since they all return slightly different results knowing which package has been used helps us to interpret the figures correctly)

3. Top 20 keywords that visitors entered into search engines to arrive at the site

4. Source of traffic to the website
• % advertising/Pay Per Click (PPC)
• % Google unpaid search
• % Yahoo unpaid search
• % other search engines
• % affiliates etc

CLIENTS:
5. Breakdown of revenues by clients or Names of your top 10 clients and the % of your revenues that they generate

6. Total number of clients and if possible the names of your current clients.


FINANCIALS:
7. Monthly revenues for the last year
Breakdown of revenue by source (e.g. advertisement, consulting, lead generation, subscription, etc.)

Breakdown of revenue by traffic source

8. Monthly expenses for the last year (e.g. PPC, hosting, marketing, personnel)


LEADS:
9. Number of leads generated per month, for the last year.
• Breakdown of leads by source (% from affiliates, % from Pay per click/advertising, % from organic search etc). Again, assume all PPC, but let me know if we are missing anything.
• Average price of each lead sold over the past year

LEGAL/FINANCIAL:
10. What is the ownership structure of the site and its parent company?
11. Most recent balance sheet and statement of cash flows for the parent company
12. What other sites do you own, if any?


PPC (if applicable):
13. Estimated % split by search engine
14. Number of years each PPC campaign has been active
15. Estimated % split between PPC and paid inclusion
16. Average CPC (cost per click) and CPL (cost per lead)
17. Estimated CTR (click through rate) and click to lead rate

It is best today to allow more time than 2-3 weeks, as that is not a very good test. Google generally would not apply any changes that quickly. It may take 1-3 weeks just to see the page with your link indexed and and than depending on many factors, including what type of algorithm updates Google is making a few months to see the results in the SERPS.

Yes it may be possible to happen in 3 weeks, yet rare to happen that quickly. Maybe only a 15% chance or less. Also Google appears to give better results the longer the links are aged, we see plenty of evidence of this in our SEO testing.

You would be wise to obtain long term articles with embedded text links on quality pages.


One of the biggest SEO mistakes I see people make is changing their links too much. Good long term results come from good long term links. Google can see them and monitor how long they are up, and if they are changing a lot and not staying long term Google knows this, and factors this into their ranking algorithms.

This is a strange and confusing time for Internet marketing, SEO and advertising. We have companies trying to convert people from banner and PPC advertising to buying text link ads.

We have companies that sell text link ads trying to switch over to only selling banner ads, because they are afraid Google will penalize them for selling text link ads.

Google is still allowing high PR9 and PR10 sites to sell links under the radar and the companies that become PR9 and PR8 sites from the PR10 links are selling sponsored links like crazy.

One thing that Google is missing the boat on currently is allowing prestigious web sites / companies with PR9 and PR10 pages to sell links. They do not say they sell links, however you could buy them if you wanted to, they are fairly easy to find, the problem is they generally want too much money for them and usually become too greedy over time and do not realize Google is watching them and start selling tons of links to non topic related sites and then Google blocks and or penalizes them. So the whole thing is silly and can be a big waste of time and money, however I currently to not see any end to it.

I think Google is trying to solve this problem; however it is not an easy problem to solve. So you see high PR sites that have been blocked by Google from passing PageRank and other sites that are selling tons of sponsored links not blocked or penalized, at least until Google catches up with them. Google has been implementing more of this TrustRank concept, however Google gives trust to the wrong sites sometimes. I wish I could show specific examples to Matt Cutts of Google, to see what he says about the specific examples I have to show him. Matt has been very helpful to me in the past and more helpful in the last two years. When I first contacted him about 4 years ago, he was not so helpful to me. I am glad he is nice to me now, however I still prefer to keep a low profile and not bother him unless it is an emergency.

Why do I like SEO?

Forget about trying to make money for a minute and let's consider other factors.

What would I like to do, if I could afford to do whatever I wanted to do for work. My list looks like this.

1. Make Movies - this is going down in cost so maybe in the future. Also I doubt I would be any good at it, at least at first and I do need to earn money.

2. Experimental Particles Physics - This is fascinating to me and I would love to have 50 million dollars to work on this sort of stuff.

3. Search Engine Optimization and Internet marketing - This is like experimental particle physics to me in the sense that I need to figure out how the Universe works. In this case, my Universe is Google, MSN and Yahoo. There are many similar things. E.g. The real world nothing is given to us. We just have to figure it all out though the scientific method. This is also true of SEO, so that is why I like SEO and I can financially afford to do it.
